Terms of service

These terms govern your use of the takeovr application and this website. By installing the software or buying a licence you agree to them.

What you are buying

A licence to use the software, not the software itself. A paid subscription unlocks features in an application that runs entirely on your own machine. It does not include model inference, speech-to-text, or any usage allowance — takeovr is bring-your-own-key, and you contract separately with whichever providers you configure and pay them directly.

The free tier is not a trial. It does not expire and we do not undertake to keep it identical forever, but removing a capability that free users currently rely on is a thing we would announce rather than ship quietly.

Licence keys

• Keys are issued to one email address and are personal to your account or, on Team, to your organisation.
• A key is a credential. Sharing, publishing or reselling one is a breach of these terms and grounds for us to stop issuing you new ones.
• Keys are short-dated by design: each one expires shortly after the billing period it was paid for, and a replacement is emailed automatically on each successful payment.
• Because keys are verified offline, a key already in your possession cannot be withdrawn before it expires. That is a deliberate property — it is what lets the app work with no network — and it is why keys are short-dated.

Billing

Subscriptions renew automatically at the price and cadence shown at checkout until cancelled. Cancel at any time from the link in your receipt or by emailing us; cancellation takes effect at the end of the period you have already paid for, and the app then falls back to the free tier rather than locking you out.

We offer a refund within 14 days of a first purchase, for any reason. Team seat changes are prorated by Stripe in the usual way. If we change prices, existing subscribers keep theirs for at least one further renewal after we tell them.

How you may use it

Your use must comply with our acceptable use policy, which is part of these terms. In particular, you are solely responsible for determining whether recording, transcribing or receiving assistance is permitted in a given call, exam, interview or meeting, and for obtaining any consent the law where you are requires. We make no representation that using takeovr is lawful or permitted in your circumstances.

You may not decompile or reverse engineer the software except to the extent that right cannot lawfully be excluded, remove or circumvent its licensing, or redistribute it.

What we do not promise

The software is provided as is. We do not warrant that it will be uninterrupted or error-free, that transcription will be accurate, or that model output will be correct — model output is frequently confident and wrong, and you are responsible for anything you say on the strength of it.

We specifically do not warrant that the overlay will remain absent from any particular capture method. The exclusion relies on an operating-system facility whose behaviour is set by the OS vendor and can change in an update; it does not apply on Linux, degrades on Windows builds older than 10 version 2004, and cannot defeat a camera pointed at your screen or a hardware capture device. Do not rely on it where the consequence of being seen would be serious.

Liability

To the maximum extent the law allows, our total liability to you for any claim arising out of these terms or your use of takeovr is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect or consequential loss, including lost opportunities, professional or academic consequences, or reputational harm.

Nothing here excludes liability that cannot lawfully be excluded, and if you deal with us as a consumer your statutory rights are unaffected.

Ending it

You may stop using takeovr and cancel at any time. We may suspend or decline to renew a licence if you breach these terms or the acceptable use policy, or if we are required to by law. If we terminate without cause we will refund the unused portion of your current period.
